SuperSend Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the services, websites, and applications provided by Power Only Transit Inc. dba SuperSend (“SuperSend,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. The Service

SuperSend provides tools for cold email and LinkedIn automation, including multi-channel sequences, sending infrastructure, analytics, and related features (the “Service”). You are responsible for all activity occurring under your account and for ensuring your use of the Service complies with applicable laws, including CAN-SPAM, GDPR, PECR, ePrivacy, CASL, and similar anti-spam and data protection laws.

2. Subscriptions, Billing & Payments

The Service is offered on a paid subscription basis (monthly or annual). Fees are billed in advance and auto-renew at the end of each billing period unless you cancel before renewal. You agree to keep payment information current and authorize us to charge all applicable fees, taxes, and charges. Payments are processed securely by Stripe. 3. Cancellation

You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; no refunds or credits are provided for partial periods except where required by law.

4. Acceptable Use & Prohibited Activities

You agree not to:

Use the Service for unlawful purposes.
Send unsolicited or spam communications in violation of applicable laws.
Reverse-engineer, disassemble, or interfere with the Service.
Infringe on third-party rights.
Attempt to bypass technical or rate limits.
Upload or process data subject to special categories under GDPR Article 9 (e.g., health, biometric, genetic, children’s data, precise geolocation, or payment card PANs) within the Service.

You are responsible for obtaining all necessary consents for personal data you upload or process.

5. Fair Use Policy

To protect platform performance and deliverability for all customers, SuperSend applies a Fair Use Policy to features labeled as “unlimited,” including inbox connections and warmup. Accounts exploiting warmup without legitimate outreach, connecting large volumes of abusive or blacklisted inboxes, or otherwise abusing the Service may be paused or suspended.

6. Intellectual Property & Feedback

The Service, including software, designs, and content, is owned by SuperSend and its licensors and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable license to use the Service during your subscription. You may submit feedback and suggestions; you grant SuperSend a royalty-free, worldwide, irrevocable license to use feedback to improve the Service without obligation to you.

7. Data Protection

SuperSend acts as a processor for Customer Personal Data processed on your behalf. Processing is governed by our Data Processing Agreement (DPA), which incorporates the Standard Contractual Clauses (SCCs 2021/914) where applicable. Details on subprocessors, security measures, and retention are available in our Legal Center:

SuperSend aligns with SOC 2 security principles but is not currently certified; our cloud providers maintain their own certifications as listed in the Sub-processor Register.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what we collect, why, and how we use and share information. Where required, you must provide legally appropriate notices and obtain consents from individuals whose personal data you upload or process.

9. Service Changes & Availability

We may modify, suspend, or discontinue features at any time. We strive for high availability but do not guarantee uninterrupted Service. Third-party platforms (e.g., LinkedIn, Google, Microsoft) may change their APIs or policies; SuperSend is not responsible for such third-party changes or deliverability outcomes.

10. Disclaimers

The Service is provided “as is” and “as available.” SuperSend disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. SuperSend does not warrant specific deliverability rates or third-party platform performance.

11. Limitation of Liability

To the maximum extent permitted by law, SuperSend will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, or data. SuperSend’s aggregate liability for all claims relating to the Service will not exceed the amounts paid by you to SuperSend for the Service in the twelve (12) months preceding the event giving rise to liability. Nothing in these Terms limits liability for willful misconduct or where otherwise prohibited by law.

12. Termination & Suspension

We may suspend or terminate your access immediately for material breach, unlawful activity, or risks to platform integrity. Upon termination, your right to use the Service ceases. Sections intended to survive (e.g., IP, disclaimers, limitations, and governing law) will survive termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Exclusive jurisdiction and venue lie in the state or federal courts located in Delaware, and you consent to their jurisdiction. For EU/UK customers, data processing terms are governed by the DPA and applicable data protection law in the EEA/UK to the extent required.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or in-product notice. Changes become effective on the stated effective date; continued use constitutes acceptance.
